Britain Clears Paramount’s $110 Billion Warner Bros. Discovery Takeover

Britain has approved Paramount Skydance’s planned $110 billion acquisition of Warner Bros. Discovery, removing one of the biggest regulatory hurdles facing the proposed media merger.

The UK’s Competition and Markets Authority (CMA) concluded that the transaction would not substantially reduce competition in areas including film distribution, streaming services and children’s television. The British government also accepted legally binding commitments from Paramount designed to protect UK broadcasting and content production.

As part of those commitments, Paramount agreed to maintain the editorial independence of UK operations, preserve the identities of services including Channel 5, Nickelodeon and Cartoon Network, and continue supporting UK programming and commissioning. Channel 5 is also expected to remain a public-service broadcaster through 2034.

Why It Matters for Film Distribution

If completed, the acquisition would bring major film, television and streaming assets from Paramount and Warner Bros. Discovery under one corporate group. That could significantly reshape global content licensing, theatrical distribution, streaming strategy and catalogue distribution, as the combined company competes with Netflix, Disney, Amazon and other global entertainment platforms.
